1. Contracting parties and acceptance
These Terms of Service form an agreement between Open Token LLC, 30 N Gould St, Ste N, Sheridan, WY 82801, USA ("Open Token," "we," or "us") and the company or other organization using the Services ("Customer"). The individual accepting these Terms represents that they have authority to bind Customer.
Customer accepts these Terms when an authorized owner clicks to accept them or when Customer uses the Services after receiving them. The Privacy Policy, Acceptable Use Policy, Data & Logging Policy, Credits & Refunds Policy, and Model Licenses & Attributions are incorporated into these Terms.
2. The Services
Open Token provides an API and related dashboard that route Customer requests to artificial-intelligence models, including models served through Amazon Bedrock. Depending on the model and Customer configuration, inference may run using Open Token's provider account or credentials supplied by Customer.
Model availability, capabilities, prices, limits, and upstream providers may change. We may add, replace, suspend, or remove a model when required by law, provider terms, security concerns, capacity, or commercial availability. Unless a separate written order states otherwise, the Services do not include a service-level commitment.
3. Business accounts and authorized users
Accounts are created by Open Token staff; there is no public registration. Customer must provide accurate account and headquarters information and keep it current. Customer is responsible for its authorized users, API keys, activity under its account, and compliance by anyone who accesses the Services through Customer.
- Login credentials and API keys must be kept confidential and may not be shared outside Customer.
- Customer must promptly revoke compromised credentials and notify support@getopentoken.com.
- Customer may not create access paths intended to evade rate, spending, geographic, or model restrictions.
- Customer may embed Open Token in its own product, but may not operate a general-purpose model marketplace, standalone proxy, or resale service without our written approval.
4. Inputs, outputs, and Customer responsibility
Customer retains its rights in content submitted to the Services ("Inputs"). To provide a request, Customer grants Open Token a limited, non-exclusive right to transmit and process that Input and to return model-generated content ("Outputs"). This permission lasts only as needed to provide, secure, and support the Services and meet legal obligations.
As between Customer and Open Token, Open Token does not claim ownership of Inputs or Outputs. Rights in Outputs may be limited by applicable law or model-provider terms, and similar or identical outputs may be generated for others. Customer is responsible for reviewing Outputs before relying on or publishing them, obtaining rights and consents for Inputs, and deciding whether the Services are suitable for its use case.
5. Model and provider terms
Each model may carry separate license, acceptable-use, attribution, geographic, or commercial restrictions. Customer agrees to comply with the terms identified on the Model Licenses & Attributions page and any model-specific notice shown before or during use. Those terms control to the extent they impose stricter conditions on use of a model.
- Customer must comply with the Amazon Web Services Acceptable Use Policy, AWS Responsible AI Policy, and applicable Amazon Bedrock terms.
- Customer may not use Outputs to train or develop a substantially similar competing model where prohibited by Amazon Bedrock terms.
- Customer may not attempt to extract model weights or training data, or remove provenance information, safety labels, or watermarks.
- Llama, Gemma, MiniMax, Kimi, NVIDIA, and other named families remain subject to the additional requirements stated on the model-terms page.
6. Bring Your Own Key
When Customer supplies provider credentials, Customer authorizes Open Token to use them solely to send Customer's requests to that provider. Customer must have the rights and provider account permissions needed for that use. The provider may bill Customer directly, while Open Token may separately charge the displayed BYOK platform fee.
Customer is responsible for its provider agreement, quotas, regional configuration, security policy, and provider charges. Open Token is not responsible for provider-account suspension, insufficient quota, unavailable models, or charges imposed by the provider. Credentials are handled as described in the Data & Logging Policy.
7. Acceptable use and safety
Customer must follow the Acceptable Use Policy. We may investigate credible misuse and may rate-limit, block a request, disable a model, suspend credentials, or suspend an account when reasonably necessary to protect people, the Services, providers, or other customers, or to comply with law or provider instructions.
8. Prices, credits, and taxes
Use is charged against prepaid credits according to the model rates and fee information shown by Open Token. Token counts and usage records generated by the Services are the billing record unless Customer identifies a demonstrable error. Purchases are processed through Stripe. The Credits & Refunds Policy explains funding, fees, refunds, failed payments, and account closure.
Prices may change prospectively. Customer is responsible for applicable taxes, duties, and similar government charges other than taxes based on Open Token's net income.
9. Privacy and data handling
Our collection and use of personal data is described in the Privacy Policy. The Data & Logging Policy gives technical detail about request content, stored metadata, operational logs, provider routing, and retention. Customer must provide legally sufficient notices and obtain any required permissions before placing personal data in Inputs.
10. Confidentiality
Each party may receive non-public information that a reasonable business would understand to be confidential. The receiving party will use that information only to perform or exercise rights under these Terms and will protect it with reasonable care. This obligation does not cover information independently developed, lawfully received without restriction, publicly available without breach, or required to be disclosed by law. Where legally allowed, the receiving party will give advance notice of compelled disclosure.
11. Open Token technology and feedback
Open Token and its licensors retain all rights in the website, dashboard, APIs, documentation, software, branding, and service improvements. Subject to these Terms, Customer receives a limited, non-transferable right to use the Services during the agreement. If Customer provides feedback, Open Token may use it without restriction or payment, provided we do not identify Customer as the source without permission.
12. Suspension and termination
Customer may stop using the Services at any time and may request account closure. We may suspend or terminate access for a material breach, nonpayment, security risk, suspected fraud, provider requirement, legal obligation, or risk of harm. Where practical, we will give notice and an opportunity to cure.
On termination, Customer must stop using the Services and all issued credentials. Sections concerning accrued payment duties, confidentiality, intellectual property, disclaimers, liability, indemnity, dispute terms, and provisions that by their nature should continue will survive. Treatment of remaining credits follows the Credits & Refunds Policy.
13. Disclaimers
AI models can produce inaccurate, incomplete, offensive, or unexpected results. The Services and Outputs are provided on an "as available" basis. To the maximum extent permitted by law, Open Token disclaims implied warranties, including merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted operation. Open Token does not provide legal, medical, financial, or other professional advice, and Outputs must not be treated as a substitute for qualified review.
14. Limitation of liability
To the maximum extent permitted by law, neither party will be liable under these Terms for indirect, incidental, special, exemplary, punitive, or consequential damages, or for lost profits, revenue, business, goodwill, or data, even if advised that such loss was possible.
Except for amounts Customer owes, misuse of the other party's intellectual property, violation of confidentiality, indemnification obligations, fraud, willful misconduct, or liabilities that law does not allow to be limited, each party's total liability arising from the Services will not exceed the greater of US$100 or the amount Customer paid Open Token during the twelve months before the event giving rise to the claim.
15. Indemnification
Customer will defend and indemnify Open Token and its personnel against third-party claims arising from Customer's Inputs, products, end users, violation of law, violation of model or provider terms, or breach of these Terms. Open Token will promptly notify Customer and allow Customer to control the defense, subject to Open Token's right to participate with its own counsel. Customer may not settle a claim in a way that admits fault by or imposes obligations on Open Token without written consent.
16. Export, sanctions, and anti-corruption
Customer will comply with applicable export controls, economic sanctions, and anti-corruption laws. Customer represents that it and its authorized users are not prohibited parties and will not use the Services in an embargoed destination or for a prohibited end use.
17. Governing law and disputes
Wyoming law governs these Terms, without regard to conflict-of-law principles. The state courts located in Sheridan County, Wyoming, and the federal courts with jurisdiction over that location will have exclusive jurisdiction, and each party consents to those courts. Either party may seek urgent equitable relief in any court with jurisdiction to protect confidential information or intellectual-property rights.
18. Changes, notices, and general terms
We may update these Terms to reflect service, legal, security, or provider changes. Material changes will be presented to a company owner for renewed acceptance or communicated by reasonable electronic notice before they take effect. Continued use after the effective date constitutes acceptance where permitted by law.
Neither party may assign these Terms without the other's consent, except in connection with a merger, reorganization, or sale of substantially all relevant assets. Neither party is the other's agent or partner. If a provision is unenforceable, the remaining provisions remain effective. Failure to enforce a provision is not a waiver. These Terms and any signed order form are the entire agreement concerning the Services; a signed order form controls if it expressly conflicts.
